Support General Counsel with respect to the overall legal, compliance, and risk management functions.
Provide day-to-day counseling and advice to organizational leadership across a variety of areas, such as contractual interpretation, compliance, litigation, employment law, and human resources matters.
Draft, review and negotiate a variety of contractual agreements, such as vendor contracts and terms of service, confidentiality agreements, grants for program services, and licensing agreements.
Participate in and advise on labor negotiations and disputes.
Assist in managing the ethics and corporate compliance function, including compliance with lobbying laws, annual disclosures, and corporate compliance training, as well as investigation of complaints.
Assist in drafting and maintaining the written policies and procedures of the organization, and update as needed.
Assist in the management of outside legal counsel and expert advisors as needed.
Take an active role in management of the RiseBoro Board and the Advisory Committee.
Take an active part of the risk management team, drafting policy, and training employees on RiseBoro policies and legal requirements.
Keep abreast of changes and developments in the law and government policy impacting human resources, nonprofit laws and programming, healthcare practices, and real estate development, and proactively advise and draft policies on the same.
Conducts legal research for General Counsel, as directed.
Performs other related duties as assigned.
Proven experience as legal counsel for 7-10 years, including legal experience in a nonprofit environment
High degree of professional ethics and integrity
Experience and confidence independently drafting and negotiating a variety of agreements and providing practical and business-oriented advice.
A high degree of emotional intelligence, and the ability to engage effectively with a diverse range of individuals
Excellent organizational and time-management skills
Ability to work independently, prioritize multiple responsibilities, and meet deadlines
Sound judgment and ability to analyze situations and information
Outstanding communication and negotiation skills
Knowledge of the challenges faced by low-income and marginalized communities, and the operational needs of nonprofits serving those communities.
Litigation experience a plus
Legal experience in affordable housing or healthcare a plus.
Spanish-language fluency preferred
J.D. degree from an accredited university and admitted to the New York State Bar
