Paralegal (Finance)




SVB Financial Group and its subsidiaries, including its principal banking subsidiary, Silicon Valley Bank provides financial and banking services to companies in technology-related, life science/healthcare, private equity/venture capital and premium wine industries. Along with commercial banking products and services provided by Silicon Valley Bank, we offer investment advisory, asset management, private wealth management, investment banking and brokerage services. We also offer non-banking products and services, such as funds management and private equity/venture capital investment, through our other subsidiaries and divisions.

SVB is currently seeking candidates for the position of Paralegal (or other title depending on the level of experience) primarily for SVB's venture capital investment division, SVB Capital. We seek a paralegal who will provide support in four key areas:

  • Venture Capital Investing (Startup Companies and Venture Capital funds)
  • Venture Capital Fund Formation
  • General Corporate Matters
  • Legal Department Initiatives

This position is expected to be based at SVB Capital's headquarters in Menlo Park, California (or another Bay Area or other SVB office). This position will report to the Deputy General Counsel for Corporate Matters, and will work closely with the Associate General Counsel of SVB Capital and the SVB Capital team.

Responsibilities

Venture Capital Investing (Startup Companies and Venture Capital funds)

  • Preparing subscription documents for underlying VC investments and other documentation as needed to complete VC fund investments.
  • Reviewing legal documents for startup company investments.
  • Consolidating legal summaries of underlying investments.
  • Manage execution of legal documentation with SVB Capital leadership.

Fund Formation
  • Assist SVB Capital attorneys and business team in supporting and coordinating due diligence requests, international securities law reviews, side letter negotiations, corporate filings, reviewing disclosure materials and obtaining internal approvals.
  • Coordinating preparation of the General Partner agreements, reviewing and negotiating NDAs, and coordinating LP interest transfers.
  • Assist compliance, risk and other SVB Capital departments with compliance matters such as review of investor reports, marketing materials and other materials.

Corporate Matters
  • Preparation of organizational charts, corporate qualification filings, and other documentation (minutes, checklists, etc.) surrounding subsidiary management.
  • Assist with various regulatory examinations and, internal audit and compliance reviews of the SVB Capital division as needed.
  • Coordinate with risk, regulatory reporting and other departments on various filings and internal approvals.

Legal Department Initiatives
  • Provide paralegal support for the Legal department and other attorneys, as needed, including non-disclosure agreements, preparing department reports and presentations and managing legal billing matters.

Prepare presentations and other materials for senior Legal group leadership.
  • Minimum of 2 years of relevant experience
  • Strong organizational, problem solving and project management skills, with superb attention to detail and accuracy
  • Effective interpersonal, verbal and written communication skills
  • Ability to prioritize effectively, handling multiple tasks simultaneously and observing deadlines
  • Works proactively to enhance and implement processes, manage projects, find innovative solutions, and communicate with other team members
  • Willingness to learn new skills and to take on new challenges and responsibilities
  • Ability to think critically and analytically
  • Must be highly self-motivated and resourceful, and able to work independently as well as be a team player
  • Ability to excel in a dynamic, fast moving and innovative environment
  • Familiarity with venture capital fund formation documents and other legal documents
  • Proficiency with Docusign, Microsoft Office, including Word, Excel, Visio and Powerpoint
  • Familiarity with management of outside counsel billing, as well as online management systems (such as Simple Legal)
  • Bachelor's or Associate's Degree from an accredited university
  • Willingness to support New York, Europe and Asia time zones on an occasional basis
